Terms of Service

1. Acceptance and Scope

By installing or using the Tooki mobile application (“Tooki,” “we,” “us,” or “our”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the application. You also acknowledge and agree that Apple Inc. and its subsidiaries are third‑party beneficiaries of these Terms and, upon your acceptance, Apple shall have the right to enforce them against you.

2. Eligibility and Account

You must be at least thirteen (13) years old to create an account. If you are between thirteen and seventeen, a parent or legal guardian must accept these Terms on your behalf. Each individual may maintain only one Tooki account. You are responsible for keeping your login credentials confidential and for promptly notifying us of any unauthorized use.

3. Limited License and Permitted Use

Subject to these Terms, we grant you a personal, non‑exclusive, non‑transferable, revocable license to access and use Tooki solely for non‑commercial language‑learning purposes. You may not copy, modify, reverse‑engineer, sell, redistribute, or exploit the application or any part of it. All rights not expressly granted are reserved by Tooki.

4. User Content, AI Output, and Conduct

By submitting text, audio, images, or other materials to Tooki, you grant us a worldwide, royalty‑free, sublicensable license to host, process, reproduce, adapt, create derivative works from, and analyze that content for the purpose of operating, improving, and promoting the service. You understand that AI‑generated responses are produced by machine‑learning models and may be inaccurate or incomplete; they are provided for informational purposes only and do not constitute legal, medical, or other professional advice. You agree not to violate any law or third‑party right, input or request unlawful, hateful, or infringing content, misuse subscriptions or referral features, interfere with security measures, introduce malware, or disrupt our networks.

5. Subscriptions, Purchases, and Refunds

The free tier offers a limited number of conversation minutes. Premium subscriptions and one-time minute packs are sold through Apple In‑App Purchase and renew automatically unless cancelled at least twenty‑four (24) hours before the end of the current period. Pricing is displayed in the App Store at the point of purchase. All sales are final and handled by Apple, except where consumer‑protection laws provide a statutory right of withdrawal. European Economic Area and United Kingdom consumers have fourteen (14) days to withdraw from digital‑content purchases unless they consent to immediate delivery.

6. Intellectual Property

All content in the application, including graphics, logos, and software, is owned by Tooki or its licensors and is protected by intellectual‑property laws. You may view and use AI responses for your personal study only. No rights are transferred to you except those expressly set out here.

7. Disclaimer of Warranty and Limitation of Liability

Tooki is provided on an “as‑is” and “as‑available” basis without warranties of any kind. To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non‑infringement. Our total aggregate liability arising out of or related to the service shall not exceed the greater of the fees you have paid to us in the twelve (12) months preceding the claim or one US cent (US $0.01). Nothing in these Terms excludes liability for death, personal injury, fraud, or any matter that cannot be excluded or limited under applicable law.

8. Termination

We may suspend or terminate your account or access to Tooki at any time if we believe you have breached these Terms. Upon termination the license granted in Section 3 shall cease and provisions that by their nature should survive will continue in effect.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict‑of‑law principles. Any dispute will be resolved by binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You waive any right to participate in class‑action proceedings. You may opt out of arbitration by sending written notice to support@tooki.chat within thirty (30) days of first accepting these Terms. Either party may pursue a claim in small‑claims court with jurisdiction.

10. Modifications

We may update these Terms from time to time. Material changes will be notified in the application or by email. Your continued use after the “Last Updated” date constitutes acceptance of the revised Terms.
